IFLA is an active world-wide organization associating lawyers specializing in the area of franchising. Among other issues, the association focuses on arranging consulting in franchisor international expansions, particularly through a network of recommended national experts.
ZCH law firm was accepted into this worldwide network as a specialist on franchising for the Czech Republic, which clearly confirms its qualities on both national and international levels.

An almanac of competition law, ANTITRUST was published for the first time this year. The goal of this annual publication is not only to inform about current trends in the field of competition law but also to present the individual law firms active in it.

February 22, 2012ZCH Participates Franchising in Preparing a New Legal Regulation of Franchising
ZCH prepared an analysis of legal regulations in the individual countries of the European Union for the Ministry of Industry and Trade, together with a proposal for a new legal regulation of franchising in the Czech Republic.
The Chamber of Deputies of the Czech Republic concurrently officially requested the Ministry of Industry and Trade to present a motion of the legal regulation of franchising, thus confirming its intent to legally establish the institute of franchising in the Czech legal system.
The Chamber of Deputies decided to take this step, among other reasons, based on the information from the seminar Franchising and Its Potential for Czech Economy. January 12, 2012A Significant Ammendment to the Commercial Code
A rather extensive ammendment of the Commercial Code came into effect on January 1, 2012, with significant changes affecting several areas of Czech commercial law.
From an economic point of view, the most significant is the possibility of excluding or limiting damage compensations within business relationships. Furthermore, there is a newly established option authorizing another person to partly or entirely lead a commercial company. While these activities may be performed within a labor-law relationship with an employee, this employee may, at the same time, be a legal representative or a board member of the company. This change of treatment concerning transactions among connected persons fails to remedy certain existing failures in clarity. With the exception of extending the prospect of obtaining property from a non-owner, it brings practically no added value compared to the existing status.

As of January 2, 2012, ZILVAROVÁ CTIBOR HLADKÝ has acquired a new, although already familiar, team member - Mgr. Eva Špačková. During her studies at the Law Faculty of Charles University in Prague, Eva worked at ZCH as legal assistant. Additionally, she completed a scholarship at the University in Griffith, Australia. Prior to joining ZILVAROVÁ CTIBOR HLADKÝ, Eva worked as legal assistant at several well known Czech law firms and as a lawyer at the Czech Ministry of Foreign Affairs. She is fluent in German and English.

December 13, 2011New Spelling; Franchising, Franšízing as Well as Franšízink
On November 21, 2011, the Institute for Czech Language of the Academy of Sciences of the Czech Republic stated in its new official online language manual that, besides the commonly used English expression franchising, it is also possible to use the Czech versions franšízing and franšízink. This confirmation of already established Czech expressions of the English word franchising was initiated by the Franchise Club. ZCH is a Bronze Member and an active member of the club.
It is also allowed to now use the expressions franchisa and franšíza.
November 23, 2011Global Law Experts Awards ZCH „Transactions Law Firm of the Year“
British rating agency Global Law Experts awarded ZCH the title „Transactions Law Firm of the Year“.
During the evaluation, Global Law Experts acquired opinions from 14.000 people from the ranks of management and legal departments of important companies, law firms as well as various independent chambers and trade associations. Additionally, individual law firms were evaluated by the staff of Global Law Experts. Based on this research, Global Law Experts then chose winning law firms in the individual countries monitored.
November 20, 2011ZCH Success in Lawsuit Bridges a Gap in the Insolvency Act
ZCH successfully challenged the decision of a Regional Court rejecting our client’s application for an insolvency proceeding due to its late submission. The Supreme Court confirmed the legal opinion of ZCH through its order (KSPH 41 INS 2804/2010, 1 VSPH 663/2011-P226-10), overturning the decision of the Regional Court and ordering it to include the application in the regular submissions of claims.

Radek Hladký prepared an extensive and practically oriented lecture on the subject of “Czech Insolvency Law” for Raiffeisenlandesbank Oberösterreich, one of the law firm’s major clients. The lecture took place in the client’s headquarters in Linz, Austria, on October 10, 2011 and was attended by more than 50 employees from management and financial departments of the bank.

A third annual FrAMchise Days took place in Prague on October 20, 2011, an event bringing together the top leaders in foreign and Czech frianchising businesses. Also the fact that the US ambassador, The Honorable Norman L. Eisen, personally took part shows the prestigious level of the event. Among the most important brands presented at FrAMchise Days 2011 were Coca-Cola, Google, Kooperativa Vienna Insurance Group, UnicreditBank Expres, Vodafone and number of others.
During the conference organized within the FrAMchise Days, JUDr. Jiří Ctibor presented a lecture on the subject „Why Regulate Franchising,“ which was exceptionally well received.

October 17, 2011A Seminar for the Economic Committee of the Chamber of Deputies
A seminar on the subject of „Franchising and Its Potential for the Czech Economy“, to the organization of which our law firm contributed significantly, took place on Tuesday, October 11, 2011 in the spaces of the Parliament of the Czech Republic.
The seminar was set up exclusively for the Economic Comittee of the Chamber of Deputies of the Parliament of Czech Republic and its Subcomittee for Business Enviornment, as well as representatives from selected ministries and the municipality.
JUDr. Jiří Ctibor presented a lecture on the subject of „Legal Protection of Franchising in the Czech Republic and Abroad“ at the seminar. The lecture received a very positive response and JUDr. Jiří Ctibor was charged with preparation of more materials for the Parliament of the Czech Republic.
Together with the Parliament Institute JUDr. Jiří Ctibor is currently preparing materials for the Chamber of Deputies, which should serve as the basis for the future legal regulation of franchising.
October 16, 2011Participation in Oxford University Research Regarding European Contractual Law
The European Union is currently considering preparation of a European contractual law, with the goal of decreasing both costs and efforts necessary during transactions within the European Union. In support of this effort, ZILVAROVÁ CTIBOR HLADKÝ participated in extensive research conducted by Oxford University regarding European contractual law. The goal of this research was to gain opinions on this subject from the professional public, as well as businesses, and reflect their position in the legal regulation of European contractual law.
The results of the previous two researches conducted by Oxford University in the past, influenced the European Union approach to European contractual law.

August 3, 2011Jiří Ctibor Heads Legislative Group Preparing Legal Regulations for Franchising
ZCH is a significant contributor to the efforts to anchor legal regulations for franchising in Czech law. JUDr. Jiří Ctibor, LL.M, Ph.D. was named head of the legal group established within the Czech Franchising Institute. Their goal is to prepare a legal framework for the first legal regulation of franchising.
This initiative was already discussed in the Subcomittee for Business Environment of the Parliament of Czech Republic, with the first seminar on the subject planned in Parliament during September, 2011.
August 2, 2011ZCH Representing a Key Creditor of BESTSPORT
ZILVAROVÁ CTIBOR HLADKÝ is providing legal consulting to the GREEN ISLAND civic associations (o.s. ZELENÝ OSTROV), which associates sport clubs (through the BESTSPORT company) that own the O2 Aréna in Prague-Libeň. The purpose of the ZCH’s involvement is to represent Green Island’s claim in insolvency proceedings against BESTSPORT a.s.. That assignment includes complete verification of related contractual relations between GREEN ISLAND and BESTSPORT, as well as representation in related lawsuits. The overall outstanding debt subject to recovery through the insolvency proceedings exceeds 5 billion CZK.

ZILVAROVÁ CTIBOR HLADKÝ strongly supports the activities of the Franchise Club and thereby contributes to the development of franchising in the Czech Republic. In 2011, ZCH became a Bronze Patron of the Franchise Club.
The Franchise Club is a business club associating more than 90 permanent members. It is therefore the most numerous and broad platform focused on franchising in the Czech Republic. The Franchise Club philosophy is particularly based on collaboration between its members, the representatives of important Czech, foreign and multinational companies and institutions.

July 1, 2011The ZCH Team Receives New Boost
Mgr. Lenka Gomez Tomčalová, who worked here in the ZCH offices as a legal assistant, successfully passed her final exams during May 2011 at the Law Faculty of the Charles University in Prague. Lenka remains on the ZCH team as a lawyer. Besides her studies at Charles University, she spent a year studying at the Law Faculty in Hamburg, Germany. Lenka speaks fluent German, English and Spanish.

On April 13, 2011, Jiri Ctibor will lecture in the historic space of one of the oldest Czech business clubs, Golem in Prague, to the members of the Franchise Club. The subject will be the „Legal Pitfalls of Czech Franchising“.
In his presentation, Jiri will attempt to answer basic questions regarding the functioning of franchising, including: What is franchising and master-franshising? What are the main legal pitfalls in franchising? What are the legal limitations of a franchise contract and what legal risk does it bring? Which clauses in the franchise contract are usually critical from the provider perspective and which can be dangerous? What is the connection between these contracts and other agreements, e.g. non-residential space leases? Which risks are posed by the premature termination of a franchising relationship? Why can franchise networks be considered cartels and occupy an exceptional position with many anti-monopoly authorities? How does the Czech Office for the Protection of Economic Competition make decisions concerning franchises?

December 02, 2010Consulting in Financing from European Social Fund Resources
ZILVAROVÁ CTIBOR HLADKÝ served as a legal consultant, preparing materials for the submission of activity orders in a project for Engel strojírenská spol. s r.o. called the „Introduction of Complex System of Mangement and Human Resources in ENGEL CZ“, the project had the financial support of the operational program, Human Resources and Employment.
This is one of three programs that enable financing from the European Social Fund in the area of human resources, during the 2007 - 2013 period, in the Czech Republic and the city of Prague.
